During the Financial Year 2019-20, the Board of Directors of the Srei Infrastructure Finance Limited(“Company”) and its wholly-owned subsidiary, Srei Equipment Finance Limited ("SEFL") at their respective meetings held on 4th July, 2019 approved the transfer of Lending Business, Interest Earning Business & Lease Business of the Company together with associated employees, assets & liabilities (including liabilities towards issued & outstanding non-convertible debentures) (the "Transferred Undertaking''), as a going concern by way of slump exchange to SEFL through a Business Transfer Agreement ("BTA'').
Pursuant to this, the Company approached the stock exchanges i.e. BSE Limited (“BSE”) and National Stock Exchange of India Limited (“NSE”) for change in name of the script i.e. from Srei Infrastructure Finance Limited to Srei Equipment Finance Limited. Accordingly, BSE Limited, vide their notice dated February 26, 2020, and NSE vide their circular dated February 26, 2020, have informed all trading members that the Listed NCDs of Srei Infrastructure Finance Limited (as mentioned in the said notices/circular) have been transferred to Srei Equipment Finance Limited pursuant to the deed of novation and these securities are now available for trading in the name of Srei Equipment Finance Limited with effect from February27, 2020.
Accordingly, the Prospectus in respect of Transferred NCDs from SIFL to SEFL are made available hereunder.
